01Acceptance of terms
By creating an account, accessing or using the VeroPass platform, you agree to be bound by these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind it. If you disagree with any point, you must not use the service.
02Definitions
03The service
VeroPass lets you issue, materialise and maintain digital product passports, aligned with the EU ESPR regulation. The Service includes the creation of per-item serialised records, the materials ledger, the lifecycle history and the link to physical carriers.
We may evolve, add or discontinue features. Changes that materially affect the Service will be communicated with reasonable notice.
04Account and eligibility
To use the Service you need an account. You are responsible for:
- Providing truthful information and keeping it up to date.
- Keeping your credentials secure and not sharing them.
- All activity carried out through your account.
The Service is intended for professional use by organisations and their authorised staff.
05Acceptable use
You undertake not to:
- Enter false or misleading information into a product passport.
- Use the Service for unlawful purposes or to infringe third-party rights.
- Attempt to access, probe or compromise systems without authorisation.
- Reproduce, resell or make the Service available to third parties without agreement.
- Overload the infrastructure or circumvent technical and security limits.
Passport integrity is the heart of the product - misuse of provenance or compliance data may lead to immediate suspension of the account.
06Customer data
Customer data is, and remains, the property of the Customer. VeroPass claims no ownership over it. You grant us only the licence strictly necessary to host, process and present that data in the course of providing the Service.
You can export or delete your data at any time. When we act on personal data on your behalf, we do so as a processor, under the terms described on the GDPR page.
Your data is yours. Exporting, migrating or deleting it never depends on our authorisation.
07Intellectual property
The Service, the software, the VeroPass brand and all documentation are the property of VeroPass and are protected by law. These terms do not transfer to you any right over our intellectual property, beyond the right to use the Service for the duration of the contract.
08Availability and support
We strive to keep the Service available and secure, with service-level objectives defined in the relevant plan. There may be interruptions for planned maintenance - communicated in advance - or for causes beyond our reasonable control.
Support is provided through the channels indicated in your plan. During the early-access period, the Service may be made available on a pre-release basis, with no availability guarantees.
09Plans and payments
Commercial terms - pricing, billing cycle and limits - are those of the subscribed plan. Unless stated otherwise, amounts do not include applicable taxes. Pilots and early access may be offered at no cost, and terms may be revised before moving to a paid plan, always with prior notice.
10Limitation of liability
The Service is provided with professional diligence but, to the maximum extent permitted by law, is provided "as is", without implied warranties of fitness for a particular purpose. VeroPass is not liable for indirect damages, lost profits or loss of data arising from factors beyond its reasonable control.
Nothing in these terms excludes liabilities that cannot lawfully be excluded, including those arising from wilful misconduct or gross negligence. VeroPass's aggregate liability is limited to the amounts paid by the Customer in the twelve months preceding the event giving rise to the claim.
11Term and termination
These terms remain in force for as long as you use the Service. You may close your account at any time. We may suspend or terminate access in the event of serious breach of these terms, misuse or legal obligation.
After termination, we provide a reasonable period for you to export your data, after which it is deleted under the terms of the Privacy Policy.
12Law and jurisdiction
These terms are governed by Portuguese law. The courts of Lisbon have jurisdiction over any dispute, without prejudice to the rights afforded to consumers under mandatory rules.
